PATENT LICENSING AGREEMENTS AND ASSIGNMENTS

Drafting of Licensing Agreements – A patent licensing agreement is a contract in which the patent owner (i.e., the licensor) agrees to grant another person or entity (i.e., the licensee) either an exclusive, or non-exclusive, right to make, sell, and/or use the patented invention owned by the licensor. In return for the right to make, sell, and/or use the patented invention, the licensee typically pays the licensor a predetermined amount of money. When an exclusive license is granted to the licensee, the licensor is not permitted to grant the same rights in the patented invention to any other person or entity. In contrast, when a non-exclusive license is executed, the licensor is free to grant the same rights in the patented invention to another person or entity.
Preparation of Assignment Documents – A document containing an assignment of patent rights is executed in order to transfer all, or part, of a party’s right, title, and interest in a patent or patent application to another, whereas a document delineating the assignment of a patent or patent application is executed in order to transfer a party’s entire ownership interest in the patent or patent application to another. For example, an employee of a company commonly assigns his or her interest in an invention developed in the course of their employment to the company (as required by their employment agreement). Also, the assignment of a patent or patent application can be recorded at the USPTO if the owner of the subject patent or patent application so desires.
